Wholesale Terms and Conditions

1. General Agreement and Applicability

These Wholesale Terms and Conditions apply exclusively to all business-to-business (B2B) transactions and approved wholesale accounts ("Buyer") with The Spice Bar ("Seller"), located in Virginia, USA, for the bulk purchase of spices and related products. These Wholesale Terms supersede any Retail Terms for such transactions.

2. Pricing, Minimum Orders, and Payment

  • Minimum Order Quantity (MOQ): There are no minimum order quantity or dollar requirements for wholesale purchases.
  • Payment Terms:
    • New Customers: All orders must be pre-paid in full before shipping.
    • Existing Customers: Approved existing customers may be extended Net 30 payment terms (payment due 30 days from the invoice date), subject to credit review and Seller's sole discretion.
  • Late Payment: Any amount not paid by the due date shall bear interest at the rate of $1.50% per month on the outstanding balance, or the maximum rate permitted by law, whichever is less.

3. Shipping and Risk of Loss

The Seller utilizes a tiered shipping policy for B2B orders:

  • Free Freight: Shipping and handling costs will be covered by the Seller (free freight) for orders totaling $65.00 or more.
  • Customer Expense: For orders under $65.00, shipping and handling costs will be calculated and charged to the Buyer.
  • Risk of Loss: Regardless of who pays the freight, all sales are made FOB (Freight On Board) Shipping Point (Seller's Facility in Virginia). Title and all risk of loss or damage to the goods pass to the Buyer immediately upon the Seller delivering the product to the common carrier.

4. Acceptance of Goods and Claims

The inspection window for wholesale goods is strictly limited due to the nature of the product.

  • Inspection: Buyer must inspect all delivered goods immediately upon receipt.
  • Claims: Any claims for shortages, damaged goods (not related to shipping), or non-conforming product specifications must be submitted to the Seller in writing, along with supporting evidence (e.g., photos), within two (2) business days of delivery. Failure to submit a timely claim constitutes an irrevocable acceptance of the goods.
  • Remedy: The Seller's sole obligation for substantiated claims is the replacement of the non-conforming quantity of the product or issuing a credit memo for the purchase price, at the Seller's discretion. We do not accept returns for refund.

5. Order Cancellation

  • Cancellation Window: Buyer may cancel an order without penalty only if the cancellation request is received in writing and confirmed by the Seller within twelve (12) hours of the order being placed.
  • Late Cancellation: Cancellation requests received after the 12-hour window, or after the order has entered the processing stage, will be subject to a cancellation fee of 15% of the total order value.

6. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, USA. Any disputes shall be settled in the state or federal courts located in Virginia.

1. General Agreement

By purchasing products from thespice.bar ("the Website"), operated by The Spice Bar ("us," "we," or "our"), located in Virginia, USA, you agree to be bound by these Retail Terms and Conditions.

2. Intellectual Property Rights

The Content and Marks on the Website are owned or controlled by us. While some images are licensed from third parties, all intellectual property rights related to the design, text, and overall presentation of the Website remain our property and are protected by law. You may not use any Content or Marks for commercial purposes without our express written permission.

3. Order Processing and Shipping

  • Processing Time: Orders are typically processed for shipment within three (3) business days from the date the order is placed.
  • Risk of Loss: The risk of loss and title for all items passes to you upon our delivery of the goods to the shipping carrier (i.e., when the product leaves our facility). We are not responsible for packages lost or stolen after they are confirmed as received by the carrier.

4. No Returns and Replacement Policy

Due to the perishable nature and food safety considerations of our spice products, all sales are final, and we do not accept returns or offer refunds.

  • Damaged Goods: If your product arrives damaged, you must notify us within three (3) business days of delivery. You must provide clear photographic proof of the damage to the product and the shipping package.
  • Remedy: Upon verification of the damage, we will, at our sole discretion, ship a like-kind replacement product. We will not issue a cash refund.

5. Product and Allergen Disclaimer

The spices sold on this Website are intended for culinary use. We make every effort to provide accurate information, but all content is provided "as is."

Allergy Warning: Our products are packaged in a facility that also handles tree nuts, and cross-contamination is possible. Individuals with severe allergies should exercise caution. By purchasing our products, you assume all risks associated with consumption.

6. Governing Law

These Terms and your use of the Website are governed by the laws of the State of Virginia, without regard to its conflict of law principles.
